End User Licence Agreement – Quadmira: RACI Matrix for Jira
This agreement is between [Full legal name], trading as ACL Studio, Chennai, India ("Provider") and the organisation that installs or uses the app ("Customer"). By installing or using the app, Customer accepts these terms.
- Licence. Provider grants Customer a non-exclusive, non-transferable licence to use the app on Customer's Atlassian cloud site(s), for Customer's internal business purposes, for the user tier and term paid for through the Atlassian Marketplace (or free tiers/trials as offered).
- Restrictions. Customer must not resell, sublicense, reverse engineer (except where the law allows), circumvent licence checks, or use the app to break any law or Atlassian's terms.
- Fees and billing. Fees, renewals, refunds and taxes are handled by Atlassian under the Atlassian Marketplace terms. Provider may change prices for future terms with notice as the Marketplace allows.
- Customer data. The app is designed not to store personal data. Customer data stays in Customer's Atlassian site. Customer owns its data. The Privacy Policy describes data handling and is part of this agreement.
- Support and updates. Provider gives reasonable email support (aclstudiohq@gmail.com) on a best-effort basis, with no guaranteed response time unless agreed in writing. Provider may update the app and may change or remove features.
- Security. Provider will fix security vulnerabilities within the timeframes required by Atlassian's Marketplace Security Bug Fix Policy.
- Warranty disclaimer. Except as required by law, the app is provided "as is", without warranties of any kind, including fitness for a particular purpose or non-infringement.
- Limitation of liability. To the extent the law allows, Provider is not liable for indirect, incidental, special or consequential damages or lost profits/data. Provider's total liability is limited to the fees Customer paid for the app in the 12 months before the claim.
- Indemnity. Customer is responsible for content it enters (e.g. team labels) and for its use of the app in breach of this agreement.
- Term and termination. This agreement lasts while Customer has a valid licence. Either party may end it if the other materially breaches it. On termination Customer must stop using the app and should run "Remove all RACI data" before uninstalling.
- Export and sanctions. Customer will not use the app in breach of applicable export-control or sanctions laws.
- Governing law. Laws of India; courts at Chennai, Tamil Nadu, except where mandatory local law says otherwise. (Lawyer to confirm; some buyers ask for neutral law.)
- Entire agreement. This EULA, the Privacy Policy and the Atlassian Marketplace terms are the whole agreement for the app. If they conflict on billing, the Atlassian terms prevail.
